## About these terms

These terms govern access to and use of the Wren Data website at wren-data.co.uk, the Wren Data application at app.wren-data.co.uk, and the products and services made available through them. This includes Marketplace, Pulse, credits, subscriptions, reports, data licences, exports, integrations and related support services.

Please read these terms before using the Services. You are asked to accept these terms when you register an Account, and again each time you place an Order or accept a quotation. By accepting them, or by using the Services, you agree to these terms on behalf of the business or organisation you represent.

The Services are intended for business use only. They are not offered to consumers acting wholly or mainly outside their trade, business, craft or profession.

## 1\. Who we are

The Services are provided by Wren Technologies Ltd, trading as Wren Data (“Wren”, “we”, “us” or “our”). We are a company registered in England and Wales under company number 17382891. Our registered office is at 128 City Road, London, EC1V 2NX, United Kingdom.

You can contact us at:

-   General enquiries: [hello@wren-data.co.uk](mailto:hello@wren-data.co.uk)
-   Privacy and compliance: [dpo@wren-data.co.uk](mailto:dpo@wren-data.co.uk)
-   Telephone: 0161 524 8524

## 2\. Definitions

In these terms:

**Account** means an account used to access the Platform.

**Authorised User** means an employee, officer or contractor whom you permit to use the Services on your behalf.

**Customer Data** means data, files, content and instructions supplied or uploaded by you or an Authorised User, excluding Wren Data.

**Data Licence** means the limited right to use Wren Data supplied under an Order.

**Documentation** means the user guides, service descriptions and instructions we publish for the Services.

**Order** means an order placed through the Platform, a quotation accepted by you, or another written order agreed by both parties.

**Platform** means the Wren Data application and its associated systems.

**Services** means the Website, Platform, Marketplace, Pulse, subscriptions, credits, reports, exports, integrations, support and any related services we provide.

**Subscription** means a recurring paid plan for access to specified Services or features.

**Usage Allowance** means the credits, records, users, exports, storage, matching volume or other limits included in an Order or Subscription.

**Website** means the Wren Data public website and its pages.

**Wren Data** means business, company, contact and specialist data made available, licensed, matched, enhanced or supplied by us, including data contained in an export or report.

## 3\. The contract between us

The contract consists of:

-   the Order;
-   any service-specific terms, data processing agreement or written schedule expressly incorporated into the Order;
-   the [Data Licence and Customer Suppression Schedule](/legal/data-licence/) in force when the Order is placed, which applies to every List, export or other supply of Wren Data and forms part of the contract whether or not the Order names it;
-   these terms;
-   the Documentation; and
- any policy expressly incorporated into these terms.

If these documents conflict, the document appearing earlier in the list takes priority. A purchase order or other document issued by you does not amend the contract unless we expressly agree to the change in writing.

You confirm that the person accepting the contract has authority to bind the relevant business or organisation.

**Acceptance and records.** We ask you to accept these terms when you register an Account and again at the point of each Order. We record the version accepted, the Account or user accepting it and the time of acceptance, and we keep that record for audit purposes. The version accepted when an Order was placed governs that Order.

## 4\. Accounts and Authorised Users

You must provide accurate registration information and keep it current. You are responsible for:

-   keeping Account credentials secure;
-   ensuring that each login is used only by the Authorised User to whom it is assigned;
-   managing user permissions and removing access when it is no longer required;
- all activity carried out through your Account, except to the extent caused by our breach of contract; and
- telling us promptly if you know or suspect that an Account has been compromised.

You must not share a personal login between users. We may require password changes, multi-factor authentication or other reasonable security controls.

An Account administrator may invite, remove and manage Authorised Users and may be able to access information about their use of the Services. You are responsible for ensuring that your Authorised Users comply with the contract.

An Account administrator may authorise users to spend pooled credits and access shared material, including shared counts, audiences, Orders, exports and field layouts. You are responsible for configuring those permissions and for Orders placed by Authorised Users acting within them. An Order placed by an Authorised User within the permissions you have set binds you, and credits spent on it are deducted from the Account balance in the ordinary way.

Shared material is available to the Authorised Users you permit to access it, and material shared within your Account remains subject to the contract, including the Data Licence. Removing a user’s access does not by itself recall material they have already downloaded or exported; you remain responsible for managing that as part of your own security and offboarding process.

## 5\. Access to the Services

Subject to the contract and payment of applicable charges, we grant you a limited, non-exclusive, non-transferable and non-sublicensable right during the contract term to access and use the Services for your internal business purposes.

You must use the Services in accordance with the Documentation and any Usage Allowance. You must not:

-   sell, rent, sublicense, distribute or make the Services available to another person, except to Authorised Users;
-   copy, modify, translate, reverse engineer, decompile or attempt to discover the source code or underlying structure of the Platform, except where applicable law does not allow that restriction;
-   bypass access controls, usage limits or technical protections;
-   scrape, crawl or use automated means to extract data or content, except through an API or automation method we expressly make available to you;
-   use the Services to build or improve a competing database, directory, data product or platform;
-   use the Services or Wren Data to train, test or improve a machine-learning or artificial-intelligence model without our written permission;
-   introduce malware, harmful code or material that could damage or disrupt the Services;
-   probe or test the vulnerability of the Services without our written permission;
- use the Services unlawfully, fraudulently or in a way that infringes another person’s rights; or
- permit any third party to do any of these things.

Our [Acceptable Use Policy](/legal/acceptable-use/) sets out further rules on acceptable use of the Services, including the use of integrations and connected accounts. It forms part of the contract, and a breach of it is a breach of this section.

We may apply reasonable technical limits to protect the Services and enforce the contract.

## 6\. Marketplace, orders and exports

Marketplace allows you to search, filter and select business records and fields. Record counts and prices may change as filters are adjusted and as our database is updated. The final contents, price, Usage Allowance and applicable Data Licence are those shown when the Order is confirmed.

You are responsible for checking your selection before placing an Order. An Order becomes binding when we accept it, make the relevant export or service available, or begin work, whichever occurs first.

The applicable download, refresh or re-access period is shown in the Order or Subscription plan. This period concerns availability through the Platform and does not extend the Data Licence.

Where a plan includes refreshed or re-downloadable orders, that period runs from the date of the Order and depends on the Subscription remaining active. If the Subscription ends, access to refresh or re-download an earlier export ends with it, although this does not affect a copy you have already downloaded or the Data Licence that applies to it.

You should download and store purchased exports securely before the displayed period ends. We are not required to retain or re-supply an export after it.

We may refuse or cancel an Order before delivery if it appears unlawful, fraudulent, technically unsafe or contrary to these terms. If we cancel a paid Order before providing the relevant Service, we will refund the amount paid for the cancelled part.

## 7\. Data Licence

Unless an Order states otherwise, Wren Data supplied in an export is licensed to the named customer for 12 months from the original purchase or Order date, and each record may be used up to 12 times in total across all purchased channels during that period.

A **channel** is the method used to contact a record. The three channels are post, telephone and email. A **use** is one outbound communication to one record through one channel. So, for a single record:

-   sending one letter is one use of the postal channel;
- placing one telephone call is one use of the telephone channel; and
- sending one email is one use of the email channel.

The 12-use allowance is combined across channels and runs cumulatively across the whole licence period. Contacting the same record by letter, by telephone and by email is three uses against the same 12-use allowance, even where the communications form part of the same campaign.

Re-downloading or refreshing an export under section 6 does not create a new licence or restart the licence period. The refreshed export remains the same supply of Wren Data, licensed from the original purchase or Order date and subject to the same use allowance.

The [Data Licence and Customer Suppression Schedule](/legal/data-licence/) sets out these limits in full, including which channels you have purchased, and applies to every export. Where the Schedule and this section differ, the Schedule prevails.

The Data Licence permits you to:

-   hold and use Wren Data for your own internal business purposes;
-   use it for lawful business-to-business sales, marketing, analysis, customer management, data validation and CRM enrichment;
- make reasonable working copies for those permitted purposes; and
- provide it to your service providers where this is necessary for a permitted use, provided they act only on your instructions, protect the data appropriately and do not use it for their own purposes.

Unless we agree otherwise in writing, you must not:

-   use Wren Data after the Data Licence ends;
-   exceed the permitted number of uses for any channel, or use a record through a channel you have not purchased;
-   sell, license, disclose, publish or supply Wren Data to another organisation;
-   use Wren Data to provide list rental, data brokerage, directory, lookup, verification or enrichment services to third parties;
-   allow an affiliate, client or other third party to use Wren Data for its own purposes;
-   combine Wren Data into a product or database intended for resale or external access;
- claim that Wren endorses your business, communication or offer; or
- remove any source, licence or rights notice included with an export.

Automated bounce-backs, delivery failures and out-of-office replies that result in no human contact do not consume a use. A reply received from a contact in response to a permitted use forms part of that same use. Routine storage, internal review, deduplication and suppression checking are not uses.

When the Data Licence ends, you must stop using the licensed Wren Data and securely delete it from active systems, marketing platforms, connected services and ordinary working copies. You may retain only the Business ID and Contact ID where this is necessary to maintain a suppression record and prevent further contact, unless the law requires you to keep a specific record.

All rights not expressly granted are reserved by us and our licensors.

## 8\. Lawful use of Wren Data

Wren provides business information and tools. We do not decide the purpose, audience, channel, wording or timing of your marketing. You are responsible for your use of Wren Data and for determining that each use is lawful.

In particular, you must:

-   identify and document an appropriate lawful basis before processing personal data;
-   comply with the UK GDPR, the Data Protection Act 2018, the Privacy and Electronic Communications Regulations 2003 and other laws that apply to your activity;
-   provide privacy information to individuals where required;
-   respect objections, opt-outs, erasure requests and other applicable rights;
-   maintain and apply your own suppression lists;
-   check the Telephone Preference Service, Corporate Telephone Preference Service and any other relevant preference or suppression service close enough to the date of a campaign for your use to remain compliant;
-   take additional care when contacting sole traders and some partnerships, since rules applying to individual subscribers may differ from those applying to corporate subscribers;
-   ensure that every communication identifies the sender and provides a valid way to opt out where required;
- avoid using Wren Data for decisions that produce legal or similarly significant effects about an individual without suitable safeguards and a lawful basis; and
- keep appropriate records of your compliance decisions.

Any compliance indicator, suppression flag or screening result supplied by us reflects the source and time stated or, if no time is stated, the position when the export was prepared. It does not replace checks that you are legally required to carry out at the time of use.

You must not use Wren Data for unlawful discrimination, harassment, fraud, surveillance, tracing individuals for personal reasons, determining eligibility for credit, insurance, employment, housing or healthcare, or any purpose that could reasonably cause an individual material harm.

## 9\. Pulse and Customer Data

Pulse allows you to upload Customer Data for matching, validation, analysis, reporting and enrichment. You retain ownership of Customer Data.

You give us a non-exclusive right to host, copy, transmit, format and otherwise process Customer Data only as needed to provide, secure and support the Services, comply with law and exercise our rights under the contract.

You confirm that:

-   you have the right to provide Customer Data to us;
-   your collection and use of Customer Data is lawful;
- your instructions to us are lawful; and
- Customer Data does not contain unlawful material or data that the Services are not designed to handle.

Unless we agree in writing, you must not upload special category data, criminal offence data, payment-card data, passwords, authentication secrets, medical information or data concerning children.

You are responsible for keeping your own source and backup copies. Pulse is not an archival or backup service.

We delete uploaded source files, enrichment outputs and intermediate processing files from active systems within 30 days of upload, unless a different period is agreed in writing. Residual copies held in protected backups expire in accordance with our [Data Retention Policy](/legal/retention/) and are not restored into ordinary use.

Where we process personal data contained in Customer Data on your behalf, you are the controller and we are the processor unless the context requires otherwise. Our Data Processing Agreement applies to that processing and forms part of the contract. Where each party independently decides why and how it processes personal data, each party acts as an independent controller for its own processing.

## 10\. Matching, reports and data quality

Business and contact information changes frequently. We use reasonable care and our published processes to compile, match, validate and maintain Wren Data, but we do not promise that every record, match, prediction, count or report will always be complete, current or error-free.

Matching and analysis may depend on the quality and completeness of Customer Data. Results may include possible, partial or unsuccessful matches and should be reviewed before they are used for important decisions.

Counts displayed before purchase may be estimates or live counts that change as the database is updated. Minor differences between a displayed count and a delivered export do not by themselves mean that the Services are defective.

If you believe supplied Wren Data materially differs from the Order or does not meet a written guarantee that formed part of the Order, contact us promptly with enough information to investigate. We may correct, replace or re-supply affected data. Any published refund or replacement guarantee that applied when the Order was placed also forms part of that Order.

## 11\. Credits

Credits are a contractual unit used to pay for eligible Services. They are not money, electronic money, a stored-value product or a transferable asset. Credits have no cash value and cannot be sold, transferred between unrelated Accounts or exchanged for cash.

The number of credits required depends on the records, fields, channels or Services selected and will be shown before an Order is confirmed. We may change the credit cost of future Orders, but this will not change an Order already confirmed.

Credits do not expire. Once credits have been issued to your Account, they remain available while your Account is open, whether they were purchased separately or included with a Subscription, and unused credits carry forward from one billing period to the next.

Subscription credits are issued according to the billing period of your plan. On a monthly plan, the included credits are issued at the start of each monthly billing period. On an annual plan, the full annual allowance is issued at the start of the annual billing period.

If a Subscription is cancelled or ends, credits already issued to your Account remain available, but no further Subscription credits are issued for periods after it ends.

Credits used for an accepted Order are deducted when processing starts or the Order is made available. Except where these terms, an applicable guarantee or the law require otherwise, used credits are not refundable.

If we close the Services for reasons unrelated to your breach, we will provide a reasonable way to use or obtain a refund for unused purchased credits. This does not apply to credits supplied free of charge or included as a promotional benefit.

## 12\. Subscriptions

A Subscription begins when we accept the Order and continues for the initial period shown at purchase. The initial period is monthly or annual, as selected at checkout or set out in an accepted quotation. Unless the Order says otherwise, it renews automatically for successive periods of the same length until cancelled.

Before you confirm a Subscription, and in any quotation we issue for one, we will clearly show:

-   whether the commitment is monthly or annual, and the length of the initial period;
-   the date the initial period ends and the first renewal date;
-   the amount to be charged, including any applicable tax, and the amount that will be charged on renewal if it differs;
- how to cancel renewal; and
- the date by which we must receive a cancellation for it to take effect before the next renewal.

We will also confirm these details to you in writing after the Order is accepted, and the renewal date and cancellation method remain visible in your Account for the life of the Subscription.

An Enterprise Subscription may be agreed for a minimum term longer than one billing period. Where it is, that minimum term, the renewal period that follows it and any notice period required to prevent renewal are set out in the Order or accepted quotation, and those provisions take priority over the renewal and cancellation provisions in this section. We will not apply a minimum term longer than one billing period unless it is expressly stated in the Order or quotation you accept.

You authorise us and our payment provider to charge the payment method linked to your Account at the start of each billing period. You must keep billing information current.

You may cancel renewal through the Account or by contacting us. To stop the next renewal, we must receive your cancellation by the date shown at purchase and in your Account, which is the renewal date itself unless a notice period is stated in the Order. Cancellation takes effect at the end of the current paid period. Charges already paid are not refundable and no pro-rata credit is due for an unused part of a billing period, except where an applicable guarantee, the Order or the law says otherwise.

We may change Subscription prices or included allowances by giving at least 30 days’ notice. A price change takes effect at the next renewal after that notice period. If you do not accept it, you may cancel before renewal.

If a plan is upgraded, any additional charge and change in allowances will be shown before confirmation. Downgrades normally take effect at the next renewal and may remove access to features, storage, users or integrations.

## 13\. Fees, payment and tax

Fees are those shown when you place an Order or set out in an accepted quotation. Any applicable taxes will be shown before payment. We may begin charging VAT if we become required to do so by law.

Online payments are due when the Order is placed. Invoiced amounts are due within the period stated on the invoice. You must pay amounts due without set-off, counterclaim or deduction, except where the law requires it.

If payment is overdue, we may:

-   suspend paid features or delivery after giving reasonable notice;
- charge statutory interest and recovery costs where applicable; and
- end the affected Order or Subscription if payment remains outstanding.

You remain responsible for charges properly incurred before suspension or termination.

## 14\. Trials, free services and promotions

We may offer free Accounts, trials, sample data or promotional credits. Unless stated otherwise, these are provided for evaluation, may have reduced features or limits, and may be changed or withdrawn at any time.

We may restrict eligibility and prevent repeated or abusive use of promotions. Free or promotional credits have no cash value and are not refundable.

## 15\. Integrations and third-party services

The Services may connect to third-party services such as CRM, marketing, storage or automation platforms (“Connected Services”). If you enable an integration, you authorise us to exchange the information needed to operate it in accordance with your instructions.

Connected Services are supplied under their own terms and privacy notices. We do not control them and are not responsible for their availability, security, changes or acts and omissions. You are responsible for maintaining any third-party account, permission and licence required for an integration.

**Choosing and connecting a Connected Service.** You select each Connected Service and connect it using your own account with that provider. You confirm that you are authorised to connect that account and to have data written into it, and that doing so does not breach your agreement with that provider or any duty you owe to another person. We are not a party to your relationship with a Connected Service provider. A Connected Service may process data under your separate agreement with its provider. Our [Service Providers and Sub-processors](/legal/sub-processors/) page identifies the providers we appoint to process Customer Data on our behalf.

**Access and permission scope.** You decide which permissions, scopes or API credentials to grant an integration. You should grant the narrowest access that allows the integration to work. You are responsible for the consequences of the level of access you grant, for keeping credentials and tokens secure, for revoking them when they are no longer needed, and for telling us promptly if you believe a credential has been compromised.

**Configuration is your instruction.** You configure how an integration behaves, including field mapping, matching and deduplication keys, record creation and update rules, overwrite behaviour, filters, sync direction, scheduling and volume. That configuration is your instruction to us. We write data to a Connected Service as you have configured it. We do not review, validate or approve your configuration, and we do not assess whether the result is suitable for how you use that Connected Service.

**Testing before production use.** Writing data into a Connected Service can create, update, overwrite, duplicate or supersede records already held there. Before enabling an integration against a production environment, you should test the configuration against a sandbox, test environment or limited record set, and confirm the result is what you intend. You are responsible for maintaining an independent backup of any Connected Service you write to. We are not responsible for a failure to test or to keep a backup.

**Responsibility for what happens in a Connected Service.** Subject to section 24, we are not responsible for loss, corruption, duplication, overwriting, deletion or unintended disclosure of data within a Connected Service, or for any resulting disruption, where this results from your configuration, the permissions you granted, the behaviour or limits of the Connected Service, or a change the provider makes to it. This does not exclude our responsibility for a failure of the Services to operate an integration in accordance with the configuration you set.

**Data licensing in a Connected Service.** Wren Data written into a Connected Service remains subject to the Data Licence in section 7. Once written, that data is under your control and we cannot remove it. You are responsible for deleting or suppressing it when the Data Licence ends, in accordance with section 7, and for ensuring the Connected Service does not make it available to another organisation for its own purposes.

We may suspend an integration if this is needed to protect security, comply with law, respond to a third-party change or prevent damage to the Services.

## 16\. Availability, maintenance and changes

We aim to provide a reliable service, but uninterrupted or error-free availability is not guaranteed unless an Order includes a specific service level agreement.

We may carry out planned or emergency maintenance. Where practical, we will give advance notice of planned work likely to cause material disruption.

We may update or change the Services to improve them, address security or legal requirements, reflect changes in data sources or third-party services, or manage technical and commercial needs. We will not materially reduce the core paid functionality during a current fixed Subscription period without a reasonable reason. If we permanently remove core paid functionality and do not provide a reasonable alternative, you may end the affected Subscription and receive a pro-rata refund for the unused prepaid period.

## 17\. Support

We will provide support in accordance with the Order and any support information published for your plan. Support does not include legal advice, campaign approval, custom development, correction of Customer Data, or support for third-party services unless expressly agreed.

## 18\. Intellectual property

We and our licensors own all intellectual property rights in the Services, Platform, Website, Documentation, Wren Data, database structure, matching methods, reports and branding, except for Customer Data and material expressly identified as belonging to someone else.

No ownership rights are transferred to you. Your rights are limited to those expressly granted by the contract.

If you give us feedback or suggestions, we may use them without restriction or payment, provided we do not identify you publicly without permission.

## 19\. Confidentiality

Each party must keep the other party’s confidential information secret and use it only to perform or receive the Services. Confidential information does not include information that the receiving party can show:

-   is or becomes public without breach of the contract;
-   was already lawfully known without a duty of confidence;
- is received lawfully from a third party without a duty of confidence; or
- is independently developed without using the other party’s confidential information.

A party may disclose confidential information to its staff, professional advisers, contractors and service providers who need it and are bound by suitable confidentiality duties. A party may also disclose information where required by law, a court or a regulator, and should give advance notice where legally permitted.

These confidentiality obligations continue indefinitely after the contract ends.

## 20\. Data protection and security

Each party must comply with data protection law that applies to it.

Our Privacy Notice explains how we process personal data relating to Website visitors, Account users, prospects and business contacts for our own purposes. Our Cookie Notice explains our use of cookies and similar technology.

We will maintain reasonable technical and organisational measures designed to protect Customer Data against unauthorised access, use, alteration and loss. No internet or storage system is completely secure, and you remain responsible for securely configuring your Account, devices, exports and connected services.

You must notify us promptly if your use of the Services causes or is likely to cause a personal data breach, security incident or unlawful disclosure involving Wren Data or the Platform. The parties will reasonably cooperate in dealing with an incident, subject to their respective legal duties.

## 21\. Suspension

We may suspend all or part of the Services where reasonably necessary because:

-   you have materially breached the contract;
-   a payment is overdue;
-   your use presents a security, legal or operational risk;
-   we reasonably suspect fraud, misuse or unauthorised access;
- a regulator, court or public authority requires it; or
- suspension is needed to prevent harm to us, you, another customer or another person.

Where practical and lawful, we will explain the reason and give you an opportunity to correct the problem. We will restore access when the reason for suspension has been resolved. Suspension does not remove your obligation to pay charges properly due.

## 22\. Ending the contract

Either party may end the contract immediately by written notice if the other party:

-   commits a material breach that cannot be remedied;
-   commits a material breach that can be remedied but fails to remedy it within 14 days after written notice;
- repeatedly breaches the contract in a way that reasonably shows it does not intend to comply; or
- becomes insolvent, enters administration or liquidation, ceases trading, or is subject to a similar event, except as part of a solvent restructuring.

We may close a free Account that has been inactive for a prolonged period after giving reasonable notice.

We may also end all or part of the contract, close or disable an Account, cancel a Subscription, refuse a new Order, or refuse future registration or access at our discretion by giving written notice. This includes where we decide that continuing to provide the Services would create an unacceptable commercial, operational, legal, security, compliance, reputational or conduct risk for Wren.

If we end a paid Subscription or paid Service under the paragraph above for reasons unrelated to your breach, fraud, misuse, non-payment or unlawful activity, we will refund any prepaid fees for the unused period after termination, unless the Order or the law says otherwise. We do not have to refund completed Orders, delivered exports, used credits, or amounts relating to a period before termination. Where the law requires a refund, we will provide it.

You may stop using a free Account at any time. Ending or deleting an Account does not automatically cancel a Subscription unless the Platform expressly confirms cancellation.

## 23\. What happens when the contract ends

When the contract ends:

-   your right to access the affected Services ends;
-   all unpaid amounts become due;
-   you must stop using and delete Wren Data when required by the Data Licence;
- we may delete Customer Data in accordance with our retention process; and
- terms intended to continue, including those concerning licences, payment, confidentiality, data protection, liability and disputes, remain in effect.

Where technically available, you should export Customer Data you need before the contract ends. We are not required to retain or supply Customer Data after the applicable retention period.

Termination does not affect rights or liabilities that arose before termination.

## 24\. Responsibility for loss

Nothing in the contract excludes or limits either party’s liability for:

-   death or personal injury caused by negligence;
-   fraud or fraudulent misrepresentation;
-   breach of terms implied by section 12 of the Sale of Goods Act 1979 or section 2 of the Supply of Goods and Services Act 1982, where applicable;
- deliberate default or wilful misconduct; or
- any other liability that cannot lawfully be excluded or limited.

Subject to the paragraph above, neither party is liable for:

-   loss of profit, revenue, anticipated savings, business, opportunity, goodwill or reputation;
-   loss or corruption of data, whether held in the Services or in a Connected Service, except for reasonable restoration costs directly caused by that party’s breach;
- indirect or consequential loss; or
- loss caused by a failure of the other party to follow the contract, Documentation or reasonable security and backup practices, including a failure to test an integration configuration or to maintain an independent backup as described in section 15.

Subject to the exclusions above, each party’s total liability arising out of or in connection with the contract in any rolling 12-month period is limited to 100% of the fees paid or payable by you for the affected Services in that period. If no fees were paid for the affected Services, our total liability is limited to GBP 100.

The exclusions and limits in this section do not apply to your liability arising from:

-   fraud or wilful misconduct;
-   unlawful use of Wren Data, or use of Wren Data outside the Data Licence, including supply, resale or disclosure of Wren Data to another organisation;
-   infringement of our or our licensors’ intellectual property rights;
- your obligations under section 25; or
- any amount payable by you for the Services.

The limits in this section apply to all claims connected with the contract, whether arising in contract, tort including negligence, breach of statutory duty, misrepresentation or otherwise.

## 25\. Your responsibility to us

You will reimburse us for losses, damages, fines, penalties, reasonable legal costs and third-party claims to the extent they result from:

-   your unlawful marketing or other unlawful use of Wren Data;
-   Customer Data that you did not have the right or lawful basis to provide or instruct us to process;
-   your supply, resale or disclosure of Wren Data in breach of the Data Licence;
- your connection of a third-party account that you were not authorised to connect, or the configuration of an integration that writes data into a Connected Service in breach of your agreement with its provider or of a duty you owe to another person; or
- your fraud, wilful misconduct or material breach of section 5, section 8 or our [Acceptable Use Policy](/legal/acceptable-use/).

We must notify you promptly of a claim, allow you reasonable control of its defence and settlement, and provide reasonable cooperation at your cost. You must not settle a claim in a way that admits fault by us or imposes a continuing obligation on us without our written agreement.

## 26\. Events outside reasonable control

Neither party is responsible for delay or failure caused by events beyond its reasonable control, except that this does not excuse payment obligations. The affected party must take reasonable steps to reduce the effect of the event and resume performance.

If such an event materially prevents a paid Service for more than 30 consecutive days, either party may end the affected Order by written notice. We will refund prepaid fees for the period after termination, excluding fees for completed Orders, delivered exports or credits already used.

## 27\. Changes to these terms

We may update these terms for legal, regulatory, security or operational reasons, or to reflect changes to the Services.

For material changes affecting an active paid Subscription, we will give reasonable advance notice, normally at least 30 days. The change will take effect on the date stated in the notice. If a material change substantially disadvantages you, you may cancel the affected Subscription before the change takes effect and receive a pro-rata refund for any unused prepaid period after termination.

Changes that do not materially disadvantage you, or that are required urgently for law or security, may take effect sooner. The version accepted when an individual Order was placed continues to govern that Order where the change cannot reasonably apply to it.

## 28\. Notices

We may send contractual notices to the Account email address or display them prominently in the Platform. You must keep your contact details current.

Notices to us concerning breach, termination, indemnity or a legal claim must be sent to [hello@wren-data.co.uk](mailto:hello@wren-data.co.uk) and marked “Legal notice”. ## 29\. General terms

**Assignment.** You may not transfer the contract without our prior written consent. We may transfer it to an affiliate or in connection with a merger, reorganisation or sale of all or substantially all of the relevant business, provided this does not materially reduce your rights.

**Subcontracting.** We may use subcontractors to provide the Services. We remain responsible for their performance to the same extent as if we performed the relevant obligations ourselves.

**Entire agreement.** The contract is the entire agreement between the parties concerning its subject matter and replaces earlier discussions, statements and arrangements. Each party acknowledges that it has not relied on a statement not set out in the contract, but this does not exclude liability for fraud.

**No partnership or agency.** The contract does not create a partnership, joint venture, employment relationship or agency between the parties.

**No waiver.** A delay or failure to enforce a right does not waive that right.

**Severability.** If a term is invalid or unenforceable, it will be modified to the minimum extent needed to make it valid where possible. The remaining terms continue in effect.

**Third-party rights.** A person who is not a party to the contract has no right to enforce it under the Contracts (Rights of Third Parties) Act 1999.

**Interpretation.** Words such as “including” and “for example” do not limit the words that precede them. A reference to writing includes email.

## 30\. Governing law and courts

The contract and any non-contractual dispute or claim arising from it are governed by the law of England and Wales.

The courts of England and Wales have exclusive jurisdiction to settle any dispute or claim arising out of or in connection with the contract.
